LegalOnly (“the site”) publishes a directory of businesses that have signed a public statement about their hiring and contracting. By using the site, or by submitting a listing, you agree to these terms. If you do not agree, do not use the site.

Who may submit a listing

You may submit a listing only if you are authorized to make statements on behalf of the business you are listing, and only if the statement you sign is true when you sign it. One live listing is permitted per business per ZIP code.

What you are signing

The statement is reproduced in full on the statement page and on your listing. When you type your name and submit the form, you adopt that typed name as your electronic signature. Your name, your title, the business details you provide and the date of signing are published publicly and may be copied, indexed and quoted by anyone.

Editorial control

The site is an edited publication, not a public forum or a common carrier. We review every submission before it appears, and we decide what to publish. We may, at our sole discretion and without notice or explanation:

  • decline to publish a submission, or remove a listing already published;
  • edit a listing for length, spelling, formatting or category;
  • refuse listings we believe are fraudulent, misleading, duplicated, or submitted by someone without authority;
  • decline listings for businesses whose inclusion we judge to be inconsistent with the purpose of the register.

A decision not to publish is not a finding about your business, and publication is not an endorsement of it. We do not guarantee that any submission will be published or that any listing will remain published.

Accuracy and verification

Listings are self-reported. We do not audit payroll records, inspect Form I-9 documentation, verify anyone’s work authorization, or independently confirm anything a business tells us. The site publishes what a signer stated; it makes no representation that any statement is true, and it makes no finding about the status of any individual person.

You are responsible for the accuracy of what you submit, and for withdrawing your listing if your statement stops being true. You can do that yourself at any time on the withdrawal page using the removal code issued when you filed.

Consequences of a false statement

The statement is not a private promise to us. It is a public claim about the business, made to attract customers, and the signer confirms they intend the public to rely on it. A signer who knowingly signs a false statement should expect it to be treated as a false statement of fact made in commercial advertising, with the consequences that follow under federal and state false-advertising and consumer-protection law — including claims by customers, by competing businesses, and by state enforcement authorities.

Nothing on this site is a criminal proceeding, and we make no accusation against anyone. We do not decide whether a statement was false. What we do is keep the record: the exact wording signed, its fingerprint, the signer’s name and title, and the date and time it was signed. If a dispute arises, that record is available to the parties to it and to any court or agency that properly requests it.

If a knowingly false listing causes us loss — including the cost of responding to complaints, correcting the record, or defending a claim brought because of it — the signer and the business are responsible for that loss under the indemnity below.

Your content

You keep ownership of the business name, description, logo and other material you submit. By submitting it you grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce and display that material in connection with the register, including in search results and archived copies. You confirm you have the right to grant that licence, including for any logo or trade mark you upload.

Acceptable use

  • Do not submit a listing for a business you are not authorized to represent.
  • Do not submit false, defamatory, or deliberately misleading information.
  • Do not upload material that infringes someone else’s rights.
  • Do not scrape, crawl at volume, or attempt to disrupt or gain unauthorized access to the site.

No warranty

The site is provided “as is” and “as available”, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, business, goodwill or data, arising from your use of the site or from reliance on any listing. Our total liability for any claim relating to the site is limited to one hundred US dollars.

Indemnity

You agree to indemnify and hold us harmless against claims, losses and reasonable legal costs arising from a listing you submitted, from your breach of these terms, or from your violation of any law or third-party right.

Third-party links

Listings link to websites we do not control. We are not responsible for their content, their practices, or anything you do on them.

Changes

We may revise these terms. The date at the top of this page shows when they last changed, and continued use of the site after a change means you accept the revised terms. The wording of the signed statement itself is versioned separately and is never changed retroactively: see the statement page.

Governing law

These terms are governed by the laws of the State of Idaho, United States, without regard to its conflict-of-laws rules. The state and federal courts serving Idaho have exclusive jurisdiction over any dispute arising from them.
